Service Agreement


1. OFFER AND SCOPE OF SERVICES

1.1 As part of this limited-time promotional offer, Provider agrees to deliver to Client:

  • A Quick-Launch Website consisting of up to four (4) pages using pre-designed templates or AI-generated layouts, provided at no cost (valued at $500); and

  • A 50% discount on the SitePilot subscription service for the duration of a 12-month commitment.

1.2 SitePilot is an AI-powered marketing and communications suite, provided under white-label license by Offworld Web Services. SitePilot includes tools to manage customer messaging (SMS, email, chat), digital advertising, online reputation and reviews, CRM and pipeline tracking, calendar and appointment booking, automated campaigns, and social media scheduling.


2. TERM

2.1 This Agreement shall commence on the Effective Date and continue for twelve (12) months unless terminated earlier in accordance with Section 5.


3. FEES & PAYMENT TERMS

3.1 Client agrees to the following payment schedule:
Months 1–12: SitePilot billed at 50% of regular rate ($248.50/month).

3.2 Invoices are due within fifteen (15) calendar days of issuance. A late fee of 1.5% per month (or the maximum allowable by law) applies to past-due balances.


4. QUICK-LAUNCH WEBSITE TERMS

4.1 Quick-Launch Websites include up to 4 pages from templates or AI-generated layouts, customized with Client’s provided content.

4.2 Additional customization, development, or third-party tools are not included and may be quoted separately.

4.3 Quick-Launch Website is provided as-is and delivered within a mutually agreed timeline. Ongoing updates or support are not included unless covered under a separate maintenance or SitePilot add-on.


5. TERMINATION OF SERVICES

5.1 Termination by Client
Client may terminate this Agreement by providing written notice at least thirty (30) days prior to the next billing cycle. Notice may be submitted through the client portal, via support ticket, or by contacting Offworld Web Services directly.

5.2 Termination by Provider
Offworld Web Services reserves the right to suspend or terminate Client’s access to the SitePilot platform or any associated services at any time, for any reason, with or without notice. Grounds may include, but are not limited to: suspected abuse, fraud, illegal activity, or prolonged inactivity.

5.3 Effect of Termination
Upon termination, Client’s access to the platform and services will cease immediately. Offworld Web Services will not be held liable for any claims, damages, or losses resulting from such termination.

5.4 Payment Obligations
Client remains responsible for all fees accrued prior to cancellation. No refunds will be issued for services not properly canceled in accordance with this Agreement.

5.5 Force Majeure
Offworld Web Services shall not be liable for delays or failure in service delivery due to circumstances beyond reasonable control, including but not limited to natural disasters, war, governmental action, or Internet service interruptions.

5.6 Third-Party Access
If Client accesses SitePilot through a third-party arrangement, all cancellation or termination requests must be managed through that provider. Offworld Web Services is not responsible for billing or account actions initiated outside of our platform.


6. RESTRICTIONS

6.1 This promotional offer cannot be combined with other discounts, credits, or marketing incentives.
6.2 Quick-Launch Website is limited to 4 pages. Additional pages, functionality, or integrations may be billed separately.
6.3 Provider may, at its discretion, approve exceptions to scope or limitations with written approval.


7. CLIENT OBLIGATIONS

7.1 Client shall provide all content (text, images, branding assets) in a timely manner and review deliverables within reasonable timeframes.

7.2 Client shall ensure ongoing access to billing and communication channels and notify Provider of any changes.


8. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all proprietary or sensitive business information shared during the engagement. This obligation survives termination of this Agreement.


9. LIMITATION OF LIABILITY

Provider shall not be liable for indirect, incidental, or consequential damages, including but not limited to lost profits, downtime, or loss of data.


10. DISPUTE RESOLUTION

10.1 Governing Law
This Agreement shall be governed by the laws of the Province of Ontario, and the federal laws of Canada applicable therein.

10.2 Arbitration
Disputes not resolved informally shall be submitted to binding arbitration in Toronto, under the Canadian Arbitration Association rules. Each party bears its own legal fees and shares arbitration costs equally.


11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings. Modifications must be made in writing and signed by both parties.
