Thank you for choosing our web design and development services. These terms and conditions outline the rules and regulations for using our services. By engaging with us, you agree to comply with and be bound by the following terms.
Services Provided
We offer a range of web design and development services, including but not limited to website creation, maintenance, hosting, and support. Specific details of the services provided will be outlined in a separate project agreement or contract.
Project Phases and Deliverables
Consultation and Proposal:
- Initial consultation to understand your requirements.
- Detailed proposal outlining the project’s scope, timeline, and cost.
Design Phase:
- Creation of initial design concepts based on your input.
- Revisions based on feedback (as specified in the project agreement).
Development Phase:
- Development of the website based on the approved design.
- Testing and quality assurance to ensure functionality across devices and browsers.
Delivery and Deployment:
- Final review and approval.
- Deployment of the website to the live environment.
Payment Terms
Payment Schedule:
- A 50% deposit of the total project cost is required before work begins.
- 25% of the total project cost is due upon approval of the design phase.
- The remaining 25% is due upon final delivery and deployment of the website.
Invoices:
- Invoices are due within 30 days of the invoice date unless otherwise specified in the contract.
Maintenance Services Billing:
- Initial Hourly Rate: The first hour of maintenance is billed in full, with additional time billed in 15-minute increments.
- Issue-Based Billing: Each maintenance issue is treated as a separate item on the invoice, with time and expenses tracked individually.
- Rates:
- Weekdays: $50 per hour
- Weekends and Holidays: $60 per hour
This structure ensures transparent billing for maintenance, with itemized invoices for each issue and clear accountability for time spent on each task.
Subscription Service for Hosting
We offer a fixed-term subscription for hosting services.
- Term and Renewal: The subscription is for one year and renews annually.
- Annual Fee: The fee is due in full at the start of each subscription term.
- Cancellation: To cancel, please provide written notice at least 30 days before the renewal date.
Late Payment Policy
Payment is due within 30 days of the invoice date unless otherwise specified in the contract. Any outstanding balances past 30 days are subject to the following late fees:
- Initial Late Fee: A late fee of 1.5% of the outstanding balance will be applied if payment is not received within 30 days.
- Monthly Late Fees: An additional 1.5% of the remaining unpaid balance will be charged monthly until the balance is paid in full.
- Suspension of Services: If the account remains overdue for 60 days, all ongoing services may be paused until the outstanding balance is settled. Clients will be notified prior to any suspension of services.
This late payment policy helps to ensure timely payments and continued access to services.
Client Responsibilities
Content Provision:
- Clients are responsible for providing all content, including text, images, and any other materials, in a timely manner.
Review and Approval:
- Clients must review and approve all design and development work at specified stages of the project.
Access and Cooperation:
- Clients must provide necessary access to hosting and domain accounts and cooperate fully to ensure the project progresses smoothly.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information received during the project.
Intellectual Property
Ownership:
- Upon full payment, clients will own the rights to the website and its content, except for any third-party components or licensed elements.
Portfolio Use:
- We reserve the right to display the completed project in our portfolio and promotional materials.
Termination
By Client:
- Clients may terminate the agreement at any time with written notice. Payments for work completed up to the termination date are non-refundable.
By Us:
- We reserve the right to terminate the agreement if the client fails to comply with these terms, including non-payment of fees.
Limitation of Liability
We are not liable for any indirect, incidental, or consequential damages arising out of the use or inability to use our services. Our total liability shall not exceed the amount paid by the client for the services.
Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which our company is based. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Changes to Terms and Conditions
We reserve the right to modify these terms and conditions at any time. Clients will be notified of any changes, and continued use of our services constitutes acceptance of the revised terms.
