Terms of Service

1. Acceptance of Terms
By engaging Offworld Web Services ("Offworld", "we", "us") for any service, booking a strategy call, or using our website, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not engage our services or use our website.
2. Services
Offworld provides a done-for-you business engine for local contractors, which may include website design and development, a 2-way SMS chat widget, a calendar booking widget, a live review widget, a 3-stage Review Engine, a reactivation campaign, and advanced SEO and directory listings through third-party platforms such as Search Atlas and YEXT. The specific scope of services delivered to you is defined in your individual service agreement or proposal.
3. Fees and Payment
Our standard pricing consists of a one-time setup fee and a recurring monthly fee thereafter. Domain registration is sold separately. Fees are billed according to the schedule agreed upon at engagement. Monthly fees are billed in advance and are non-refundable once the billing period has begun, except where required by applicable law.
4. Setup and Timeline
We aim to have your business engine up and running within approximately two weeks of receiving all required access, assets, and information from you. Timelines are estimates and may vary based on the scope of work, the responsiveness of third-party platforms, and the timely provision of materials by you.
5. Your Responsibilities
To deliver our services effectively, you agree to provide accurate business information, grant necessary access to accounts (such as Google Business Profile, directories, and existing tools), supply brand assets when requested, and respond to reasonable requests for review and approval in a timely manner.
6. Third-Party Services
Our engine integrates with third-party platforms and services (including but not limited to Search Atlas, YEXT, Google, SMS and email providers, and calendar systems). We are not responsible for the performance, availability, pricing, or policy changes of these third parties. You remain responsible for complying with the terms of any third-party accounts used in connection with your services.
7. Intellectual Property
Upon full payment of all applicable fees, you retain ownership of the website content and assets we create for you, excluding any third-party licensed tools, fonts, images, or software. Offworld retains ownership of its proprietary methods, templates, and processes. You grant Offworld a non-exclusive license to display your website and results in our portfolio and marketing materials.
8. Reviews and Reputation Data
Review content and ratings are generated by your customers and managed through third-party platforms. Offworld does not guarantee specific review counts, ratings, or outcomes. We facilitate the collection and display of reviews but do not control the content submitted by third parties.
9. No Guarantee of Results
While our system is designed to improve lead capture, reviews, reactivation, and visibility, we cannot guarantee specific business outcomes, revenue increases, or search rankings. Results depend on many factors outside our control, including market conditions, your industry, and your business operations.
10. Cancellation
You may cancel your monthly service at any time with written notice of at least 30 days before your next billing date. The one-time setup fee is non-refundable. Upon cancellation, we will wind down active campaigns and integrations. Continued hosting, domain, or third-party service costs after cancellation are your responsibility.
11. SMS Messaging & A2P 10DLC Compliance
Our services may include 2-way SMS chat and reactivation campaigns that send text messages to your customers. These messages are sent using Application-to-Person (A2P) messaging via 10-digit long code (10DLC) numbers registered with Canadian and U.S. wireless carriers. By using our SMS features, you authorize Offworld to send text messages on your behalf for lead follow-up, booking confirmations, review requests, and reactivation outreach. You are responsible for obtaining proper consent from your contacts before any message is sent. Message frequency varies. Standard message and data rates may apply to recipients. Recipients may opt out at any time by replying STOP, and may request help by replying HELP. We do not share, sell, or rent mobile numbers to third parties for marketing. Misuse of SMS features, including sending messages without consent or to numbers on any do-not-call list, may result in immediate suspension of messaging services without refund.
12. Limitation of Liability
To the maximum extent permitted by law, Offworld shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of revenue, profits, or data arising from your use of our services. Our total liability for any claim shall not exceed the fees you paid us in the three months preceding the claim.
13. Privacy
Our handling of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
